An export company in Türkiye needs two linked operating systems: the company and tax-registration file that permits it to trade, and a shipment evidence file that can support customs, invoicing and any VAT-refund process. Treating the refund as automatic is a mistake. 1. Put the company record in place first
Türkiye’s official Investment Office says international investors receive the same rights and liabilities as local investors and may use company forms under the Turkish Commercial Code. It identifies the Trade Registry Directorate as the one-stop registration point and says MERSIS is used for trade-registration transactions. Select the entity, registered address, activity scope, managers, shareholders and signing authority before issuing export paperwork. A foreign shareholder’s documents can require notarisation, apostille or consular ratification and Turkish translation; do not schedule a shipment on the assumption that those steps are instant.
2. Design the legal and tax file around the export activity
Keep incorporation documents, registry records, tax-registration evidence, bank mandate, authorised signatories and accounting contacts together. The Ministry of Trade describes the trade registry as a public state registry and says trade-register transactions are carried out through MERSIS. This confirms the registration route, not an export licence for every product. Check separately whether the goods need product approvals, sector permissions, origin evidence, export controls or destination-market registrations.
3. Use one shipment data record
Before an invoice is issued, freeze the customer’s legal name and address, seller identity, goods description, quantity, unit price, currency, Incoterm, delivery point, payment terms, package count, weights and export reference. The sales invoice, commercial invoice, packing data, logistics instructions and customs evidence should reconcile to that single record. A vague goods description or a changed value is not merely an accounting issue: it can break the documentary trail used for customs and tax review.
4. Invoice workflow: control the commercial facts
Set a document owner and version rule. The commercial invoice should be traceable to the underlying sale, while the accounting invoice and any electronic-invoicing process should be reviewed with the company’s accountant for the applicable format and timing. Do not assume that a buyer’s template decides Turkish tax treatment. If credit notes, partial shipments, returns or foreign-currency adjustments occur, log their connection to the original export file before the VAT return and refund request are prepared.
5. VAT refund workflow: evidence before application
The Revenue Administration’s electronic VAT-refund guidance lists the deductible-VAT list, input-VAT list, customs exit declaration list, sales-invoice list and VAT-refund calculation table among items that may be required according to the refund type. It also says the system presents lists according to the transaction type and that incomplete lists cannot be approved. Build a monthly reconciliation: identify the export sale, link it to the customs-exit evidence where applicable, link purchase/input records and retain the sales-invoice data. A customs declaration is evidence in the process, not a substitute for checking legal eligibility.
6. A practical close-out checklist
- Confirm the entity, registration and tax setup before accepting the export order.
- Screen goods and destination requirements separately from incorporation.
- Approve one shipment data record and issue controlled invoice versions.
- Reconcile the invoice, logistics file, customs-exit evidence and accounting ledger.
- Have the accountant classify the VAT treatment and refund route under current rules.
- Prepare only the lists and supporting records required for the selected request; retain filing and response evidence.
