A Latvian company-formation timeline has two clocks. One is the Register of Enterprises review period. The other is the time needed to make a foreign-founder file internally consistent. The official Register summary states a review period of one to three business days, excluding the submission day, and says the statutory period can be extended under the Administrative Procedure Law. That is not a promise that an incomplete file will move in three days.

Separate registry review from file preparation

The Register's official online guidance says a new limited liability company with one natural-person founder can use system-generated documents or upload prepared documents; the registration fee is paid online after completing the application. For foreign founders, preparation can take longer because names, signatures, authority documents and identity data must line up before submission.

Build the incorporation plan with company formation and accounting support, then reserve time for local tax and payroll setup if people will work in Latvia.

What commonly delays a foreign founder file

The Register says documents must be completed or drafted in Latvian. It also says a foreign national with qualifying legal ties to Latvia who does not have a Latvian personal identity number must submit the Register of Natural Persons questionnaire in the stated circumstances. Do not treat translation, signature method or identity information as administrative afterthoughts. Check each name against the passport and corporate extracts, confirm who has authority to sign, and keep the beneficial-owner record consistent with the application.

The Commercial Law is the primary legal framework for merchants and commercial companies. Use current Latvian text for legal conclusions because the English translation page itself notes that its translation is outdated.

Registration is not the entire launch

Registration does not settle every operating step. The State Revenue Service says commercial companies must arrange accounting with a person competent in accounting issues. It also notes VAT registration can be required after annual revenue exceeds EUR 50,000 or for transactions with EU Member State taxpayers, and that employers must register employees before the employment relationship begins. These rules change the realistic launch plan when the company will trade or hire immediately.

A practical sequencing checklist

First, confirm the activity, founders, directors, address and ownership record. Second, decide the document language and signature route. Third, prepare the filing and payment. Fourth, submit and start the statutory review clock. Fifth, prepare the tax, accounting, bank or payment-provider, VAT and employment workstreams that apply to the actual business. A bank or payment-provider onboarding decision is separate from company registration, so do not promise a launch date based only on the registry review window.
