A software business can use the ordinary Turkish company-formation route; it does not receive a separate company form because the product is digital. Start with the operating model, not the Technopark label
A founder should first decide what the company will sell, who will sign contracts, where the registered address will be, and whether the initial team will be employees or independent suppliers. A Technopark is not an automatic status for every software company. Admission, project fit and the zone operator’s process must be checked before a budget assumes any zone-based treatment. A normal limited company can still develop software, invoice customers and hire staff outside a zone.
Choose the company form and fund the file correctly
The Ministry of Trade announced that the minimum capital for a limited company has been TRY 50,000 since 1 January 2024, while an ordinary joint-stock company has a TRY 250,000 minimum. The official investment guide also distinguishes payment timing: the pre-registration 25 percent subscribed-capital rule described for joint-stock companies does not apply to limited companies, whose subscribed capital may be paid within 24 months. That does not make capital planning optional; banking evidence, articles and the selected structure still need to agree.
Build the tax and bookkeeping calendar before the first invoice
A company registration does not finish the tax work. The Investment Office explains that the Trade Registry notifies the tax office and social-security institution after incorporation, and that a tax officer may visit the headquarters for the determination report. For a software business, the bookkeeping handover should therefore map revenue contracts, invoices, expense evidence, payroll, withholding and any cross-border payment flow. Do not choose a tax result from a headline or a sales pitch. Confirm the facts of the activity, customer location and invoicing pattern with the accountant responsible for the company file.
Treat Technopark eligibility as a project review
The Ministry of Industry and Technology’s Technology Development Zones portal administers the ecosystem built under Law No. 4691. It is a framework for technology-development activity, not a shortcut created merely by registering a company with “software” in its object clause. Before relying on a zone, ask the operator what project material, R&D description, personnel plan, address arrangement and reporting it requires. Keep the ordinary company and payroll process workable even while an application is under review.
Make the first-hire sequence explicit
When the company begins employing people, the employer needs an employment and social-security workflow rather than an informal contractor list. SGK provides employer services for workplace registration and insured-person notifications. The practical sequence is to confirm the workplace file, contract terms, payroll owner, start date, social-security notification timing and expense approval before a developer starts work. Remote work, foreign nationals, equity promises and project-based bonuses can each add a separate review point.
Keep foreign-founder documents and execution aligned
The official establishment guide lists translated and notarized passport copies for foreign individual shareholders, and explains that documents made outside Türkiye generally need apostille or Turkish-consular ratification followed by official Turkish translation and notarization. Names, authority wording and the registered address should match across the power of attorney, articles, bank file and registry submission. Most avoidable delays come from inconsistencies between those documents, not from the software activity itself.

Does a software company have to enter a Technopark?
No. A company can operate software development or IT services through the ordinary incorporation framework. Technopark admission is a separate commercial and project decision that should be confirmed with the relevant operator.
Is there one tax answer for every software sale?
No. The treatment can depend on the company’s facts, contracts, customer location, payment flow and whether the work is within an approved zone project. The company’s accountant should review the actual transaction before invoicing.
Can the company hire immediately after registration?
Hiring should wait until the workplace, payroll and social-security process are ready for the actual start date. Registering the company is not the same as completing the employer workflow.
