A cross-border contract can fail long before a dispute. The common weak points are a vague governing-law clause, an unverified signatory and a missing execution record. Build the control file before commercial terms are final.

What must a cross-border contract control first?

Start with the parties, their exact legal names, the deal scope and the governing-law, dispute-resolution and language clauses. Put these controls in a single negotiation checklist. A clause copied from another deal often carries assumptions that do not fit this transaction.

Use a short clause matrix before the first markup round: governing law, dispute forum, language, notice method, signature route, signatory evidence, data handling and the order of precedence between schedules. The HCCH Hague Principles, approved on 19 March 2015, describe party autonomy as the ability of commercial parties to choose the law governing their contract. That choice needs to be explicit and consistent with the rest of the deal file.

How should governing law and dispute resolution be set?

Choose governing law deliberately, then state the court or arbitration mechanism separately. The clause must match the counterparties, assets, performance locations and enforcement plan. A generic reference to international law is not an operational choice.

Authority is a company-law question. Check the registry extract, constitutional documents, board or shareholder approvals where needed, and any delegated signing limits. Do not treat a job title, email signature or video-call approval as proof. For a UK company, Companies Act 2006, section 44 gives a specific execution route for two authorised signatories or a director signing before an attesting witness. Other jurisdictions use their own rules.

How do you confirm who can sign?

Confirm authority before circulation of the final version. Match the signer to the correct legal entity and check whether the transaction needs a board resolution, two signatories, a witness or a power of attorney.

An electronic signature can be commercially useful only when the file shows who signed, what version they signed and how the completed record was retained. The UNCITRAL Model Law on Electronic Signatures, adopted on 5 July 2001, sets out technical-reliability criteria for equivalence with handwritten signatures. It is a model law, not a single global rule. Local law and the contract type still control.

What makes an electronic execution file reliable?

Use a controlled signing process that identifies the signer, locks the final version and retains an audit trail. A scanned signature attached to an email does not answer every authority or evidence question.

Keep the signed PDF or platform completion certificate, the authority evidence, the final schedules, approvals and a dated version log in one controlled folder. No. A governing-law clause and a jurisdiction or arbitration clause answer different questions. Draft and review both together.

Can one director sign every cross-border contract?

Only if the company law, constitutional documents, delegated authority and contract formalities allow it. Verify the exact entity and transaction.

Are electronic signatures valid internationally?

There is no one-word global answer. Confirm the relevant local law, contract type, identity method and evidence trail.

What should be retained after signing?

Retain the final executed version, signing evidence, approval record, authority documents and all incorporated schedules.
