A foreign technology founder can establish a Turkish company without adding a Turkish shareholder merely because the founder is foreign. The useful question is not whether the product is software, AI or a marketplace. It is whether the proposed company form, governance, registered address, capital, contracts and post-registration controls fit the way the business will actually operate.

This guide gives the sequence rather than a sales promise. It separates preparation from the registry event, statutory capital from professional and operating costs, and company ownership from immigration or work authorization. The rules and source status below were checked on 10 September 2026. They are in force unless a section says otherwise.

What is the short answer for a foreign tech founder?

Most founder-led technology businesses begin their comparison with a limited company and a joint-stock company. A limited company can suit a small cap table and a straightforward operating structure. A joint-stock company may deserve attention where the founder expects institutional investment, more formal governance or future share transactions. The technology label creates no separate incorporation shortcut.

The official Invest in Türkiye establishment guide says international investors have the same rights and liabilities as local investors and may establish the company forms available under the Turkish Commercial Code. Equal treatment does not waive a sector licence, data obligation, payment-services rule, employment duty or other requirement that applies to the actual activity. Map those workstreams before filing.

Who is this route a good fit for, and who should pause?

A Turkish operating company can fit a founder who will employ a local team, contract with Turkish customers, receive local supplier invoices, participate in the regional technology market or maintain real management and operations in Türkiye. It can also fit a foreign group that needs a locally accountable subsidiary rather than an informal contractor arrangement.

Pause before incorporating if the only objective is a certificate for opening a payment account, if management will remain entirely elsewhere without a tax analysis, or if the business has not decided who owns its intellectual property. A company does not solve residence, banking, tax residence or work-permit questions automatically. Those are connected but separate decisions.

  • Good fit: a real Turkish operating base, employees, customers or suppliers.
  • Needs review: regulated fintech, payments, health, education, telecom or crypto activity.
  • Poor fit: a passive shell with no credible operating or management plan.

Limited company or joint-stock company?

The decision should follow the intended ownership and governance model, not a generic preference for the cheapest form. Ask how many shareholders are expected, how decisions will be approved, whether outside investment is likely, what transfer mechanics investors expect and who will have signing authority. Put those answers into the articles and authority documents from the start.

The Ministry of Trade capital notice states that the new floors took effect on 1 January 2024. It also gives TRY 500,000 as the starting-capital floor for a non-public JSC using the registered-capital system. These are statutory minimums, not recommended operating budgets.

What must be decided before the MERSIS entry?

MERSIS should record a decision that has already been made. Before data entry, settle the legal form, shareholders, managers or directors, share allocation, capital, registered address, company name and a realistic description of activities. For a technology business, also settle who owns existing code, trademarks, domains, datasets and customer contracts, and how those assets will move to or be licensed to the Turkish company.

A broad activity clause is not a substitute for a licence review, while an unnecessarily narrow clause can obstruct contracts and banking explanations. Build the wording from the real revenue model: SaaS subscriptions, software development, marketplace commissions, hardware sales, R&D services or another model. The official MERSIS portal is the electronic system, but it does not make commercial choices for the founder.

Which documents usually matter for a foreign shareholder?

The exact checklist changes with the company form, registry directorate and whether the shareholder is an individual or a foreign legal entity. For an individual, expect identity evidence, an officially usable passport copy and translation, a potential tax number where required, address information and authority documents if a representative will act. Names, dates and passport numbers must match throughout the file.

For a foreign corporate shareholder, expect a more detailed authority chain. Current registry evidence, the foreign entity's constitutional documents, a competent resolution authorizing the Turkish investment and proof that the person signing has authority may be needed. Foreign-issued documents generally need the applicable apostille or Turkish consular legalization route, followed by official Turkish translation and notarization. Confirm the local checklist before ordering documents because expiry and form requirements matter.

What is the correct MERSIS and Trade Registry sequence?

The Ministry of Trade's Trade Registry page says trade-registry transactions are carried out through MERSIS and registry records are kept there. That means the online record and the Trade Registry Directorate are complementary stages, not alternatives. A clean electronic application supports the registry filing; it does not replace the legal registration decision.

  1. Confirm the company form, ownership, governance, capital and activity wording.
  2. Obtain the required foreign-shareholder identity, authority and tax-number evidence.
  3. Confirm the registered address and company name.
  4. Prepare and submit the articles and establishment data in MERSIS.
  5. Complete signatures and submit the full file to the competent Trade Registry Directorate.
  6. Finish tax, bookkeeping, banking, beneficial-ownership, payroll and licence workstreams as applicable.

Do not book the registry stage while material data is still changing. A founder who changes the cap table, manager or address after translations and powers are prepared can force several documents to be reissued.

How much does Turkey company formation cost?

There is no responsible single all-in number for every foreign technology founder. Keep three budgets separate. First is subscribed capital, which belongs to the company and is not the same as a service fee. Second is the official and documentary layer, which can include registry and chamber items, Competition Authority contribution, translation, notarization, apostille or legalization, and document delivery. Third is the operating layer: address, accounting, payroll, e-signature or fiscal tools, banking preparation and any licence work.

The official investment guide describes a Competition Authority payment equal to 0.04% of company capital during establishment. Other line items depend on the company, city, number and origin of documents, shareholders and service scope. Request a written quote that states assumptions, VAT treatment, third-party disbursements, renewal costs and exclusions. A low formation headline that excludes translation, registered address or the first accounting month is not a comparable total.

How long does registration take?

Invest in Türkiye describes Trade Registry Directorates at Chambers of Commerce as a one-stop shop and says the establishment procedure can be completed on the same day. Read that statement narrowly: it describes a ready registration file at the registry. It is not a promise that apostilles, translations, tax numbers, address evidence, bank onboarding and operational launch all finish in one day.

A useful project plan has separate clocks for document preparation, MERSIS drafting, registry execution and post-registration activation. Foreign corporate shareholders usually need more lead time than a single individual because the authority chain is longer. Banking can also run on its own due-diligence timeline. A fixed completion promise should therefore identify exactly which milestone it covers.

What happens immediately after registration?

The first week should not be improvised. Hand the registered articles, authority records, address evidence and tax information to the responsible accountant. Confirm invoicing, expense evidence, payroll ownership, electronic filing access and the filing calendar before revenue starts. The investment guide notes that the Trade Registry notifies the tax office and social-security institution, but a notification does not replace the company's operational compliance work.

Bank onboarding needs a coherent explanation of customers, countries, expected turnover, funding source and transaction types. The same narrative should match the website, contracts, activity clause and cap table. Technology founders should also document IP ownership, data-processing roles, contractor assignments and employee invention clauses. These controls matter more than the date printed on the registry certificate.

Does forming the company grant residence or permission to work?

No. Share ownership, management appointment, residence status and permission to work are different legal questions. A foreign person may be a shareholder without receiving an automatic residence permit. If a founder will actually work in Türkiye, sign and manage locally or receive a salary, assess the relevant immigration, labour and social-security position separately and before activity begins.

Remote incorporation can be possible where acceptable powers and documents are used, but remote filing does not guarantee remote banking or eliminate identification checks. Decide which acts the representative may perform, which acts the founder must perform personally and when travel may be required. Avoid a power of attorney broader than the implementation plan needs.

Technology-specific controls founders often miss

Founders naturally focus on the product, but the registry file touches only part of the risk. Before launch, map intellectual property, open-source licence compliance, personal-data flows, customer terms, consumer rules, export controls and payment collection. A marketplace that moves money, for example, can raise questions that an ordinary software consultancy does not.

Do not budget a Technopark or R&D benefit as automatic. Eligibility, project admission, location and ongoing reporting need their own assessment. A normal company can develop and sell technology outside such a programme. Model the business so it still works without an incentive, then treat any confirmed benefit as an additional scenario rather than the foundation of the budget.

The practical control is a single data room with version ownership. Freeze names, addresses, capital and authorities before apostille, translation and submission. Record who approves each change. That discipline is unglamorous, but it prevents most avoidable rework.

Can a foreign founder own 100% of a Turkish technology company?

The official investment framework applies equal treatment and does not impose a Turkish partner merely because the investor is foreign. Sector-specific restrictions or approvals must still be checked for the actual activity.

What is the minimum capital for a Turkish limited company in 2026?

The Ministry notice sets the floor at TRY 50,000 for a limited company, effective 1 January 2024. Older pages showing TRY 10,000 are stale.

Must 25% of limited-company capital be paid before registration?

The official establishment guide says the pre-registration 25% rule described for a joint-stock company does not apply to a limited company. Subscribed limited-company capital may be paid within 24 months after establishment. A founder should still agree the exact capital plan and evidence with the filing team.

Is MERSIS the same as the Trade Registry?

No. MERSIS is the central electronic system used for the filing and records. The competent Trade Registry Directorate carries out the registration stage.

Can the whole setup be completed in one day?

The official same-day wording concerns a ready registry file. Foreign-document preparation, translation, banking and operational activation can take longer.

Does a software company automatically qualify for a tax incentive?

No. A technology label or activity clause is not an approval. Any incentive, zone status or project benefit requires its own current eligibility and implementation review.
