The two-layer registry reality

The incorporation has two distinct layers: MERSIS electronic filing first, then Trade Registry Directorate processing second. MERSIS is where the articles of association are drafted and submitted electronically. The Trade Registry Directorate reviews the submitted file and, if complete, registers the company — often on the same day. MERSIS does not replace the registry; it feeds it.

What can actually be done in one day

The registry step — once the Trade Registry Directorate receives a complete, correct file — can finish in one business day. The company receives its trade registry number (sicil no) and is legally existent from that point.

  • Document collection and preparation: Passport copies, certified Turkish translations, apostilles or legalisations, tax ID applications for each foreign shareholder and director.

The limited şirket (LLC) is the common choice for most foreign founders. Minimum capital TRY 50,000, no mandatory capital blocking before registration, simpler governance. The anonim şirket (JSC) requires TRY 250,000 minimum capital with 25% blocked upfront, and adds a board of directors / auditor layer — extra document steps.
