Netherlands BV Formation for Non-Residents: Documents, Cost and Banking

A practical file checklist for non-residents forming a Dutch BV, from the notary and KVK registration to cost planning and bank onboarding.

A non-resident can form a Dutch BV, but the file has to work in four places: the civil-law notary, the KVK register, the UBO record and the bank or payment provider. The Dutch government’s Business.gov.nl says a BV is a legal entity, can be started alone or with partners, and requires a civil-law notary for incorporation. The formation is manageable. A weak address, ownership or business-purpose file is where delays tend to begin.

What is the Dutch BV formation sequence for a non-resident?

The formal sequence is clear: prepare the shareholder and director file, have the notary draw up the notarial deed and articles, register the BV in KVK’s Business Register, then complete the tax and ownership steps. Business.gov.nl says the notary usually carries out KVK registration for a legal entity, and registration with the Dutch Tax Administration follows automatically.

Do not sign commercial commitments in the BV’s name before the registration position is understood. Business.gov.nl notes that a person acting for a BV under incorporation remains personally liable until registration is complete.

  1. Confirm the proposed activity, shareholders, directors and signing authority.
  2. Prepare identity, address and ownership evidence for the notary’s due-diligence review.
  3. Arrange a Dutch business address and written consent where the address belongs to an accountant or service provider.
  4. Execute the deed, register with KVK and confirm the BV’s details.
  5. Complete UBO registration where required, then start the separate banking or EMI onboarding process.

Which documents should be ready before the notary is instructed?

There is no safe universal document list because a notary and provider must assess the ownership chain and risk profile. In a straightforward founder-owned case, prepare valid passports or national IDs, residential-address evidence, shareholder and director details, a proposed Dutch business address, the planned activity and ownership percentages. Corporate shareholders normally add registry extracts, constitutional documents, director authority and the ownership chain to the natural persons behind the entity.

Keep the file consistent. The activity described to the notary should match the KVK description, expected contracts, invoices and the explanation later given to a bank. If documents were issued abroad, ask the appointed Dutch notary early whether certified translations, legalisation or apostille formalities are needed for that particular file.

Does a non-resident need a Dutch address?

For KVK registration, yes: Business.gov.nl states that a company needs a Dutch address for registration in the Dutch Business Register. It can be the founder’s address or a business address, including an accountant’s address, provided the user has permission. A foreign residential address does not replace the Dutch company address.

The same official guidance distinguishes a non-resident’s own records from the company record. A non-resident registering personally needs a permanent foreign address and a temporary Dutch address when the relevant registration route applies. Treat personal registration, company address and tax residence as separate questions.

What does a Dutch BV cost in 2026?

Separate statutory capital from formation and recurring costs. Business.gov.nl states that the starting capital can be €0.01. That does not mean a complete non-resident BV costs one cent. The same official page lists the KVK registration fee, the civil-law notary’s fee, bookkeeping or accounting, and depositing financial statements as cost lines. Its published indicative ranges place the notary fee at €500 to €1,000 and bookkeeping or accounting at €600 to €1,800 a year; a complex ownership chain, translations, legalisation, address service or tax work can add cost outside those lines.

How do UBO registration and banking fit into the process?

KVK guidance says a UBO is the owner or person effectively in control of an organisation, and gives a person holding more than 25% of BV shares as an example. Where the BV must register UBOs, complete the information accurately and keep the ownership chart current. A register extract alone does not substitute for a bank’s own checks.

Banking is a separate commercial and compliance decision. No Dutch account is guaranteed merely because the BV has a KVK number. Prepare the deed or incorporation evidence, KVK extract when available, UBO information, IDs, business description, expected countries and payment flows, contracts or pipeline evidence where relevant, and a plain explanation of source of funds. Give the same facts to every provider. Contradictions are harder to repair than a longer review.

What should happen after the BV is registered?

Set the compliance calendar before trading. Business.gov.nl says BVs must keep records, prepare financial statements and deposit them with KVK; the data required depends on company size. It also says a BV files VAT returns, usually quarterly. Confirm tax registrations, accounting access, invoice controls, director authority and any employment or sector permits before the first transaction.

Can a foreigner own 100% of a Dutch BV?

The official BV page says a BV can be started alone or with partners. Ownership, sanctions, source-of-funds and sector rules still need review for the actual case.

Is €0.01 the total cost of a Dutch BV?

No. €0.01 is the stated minimum starting capital. Notary, KVK, accounting and file-specific costs remain separate.

Does KVK registration automatically open a bank account?

No. KVK registration and banking onboarding are separate. A provider makes its own acceptance and due-diligence decision.

Can a BV be incorporated remotely?

Business.gov.nl says digital incorporation using an audio-video connection can be possible, although a notary may refuse it in some cases. Confirm the route with the appointed notary before relying on it.
