Foreign founders can establish a Latvian SIA, the local limited-liability company, through an application to the Commercial Register. The practical file matters more than a headline filing price: incorporation documents, proof of capital where applicable, a registered address and a director-ready signing process all have to line up before submission.
What is a Latvian SIA?
An SIA is Latvia's limited-liability company form. For a foreign-owned operating business, the first decision is usually whether the planned activity, ownership record, address and banking file can be evidenced cleanly. The Latvian Commercial Law is the primary legal starting point for incorporation steps.
Which documents belong in the registry file?
Section 149 says all founders sign the registration application. It also lists incorporation documents and, where cash capital is used, a payment-service-provider statement confirming payment. Build the file from the legal form and the actual ownership chain, rather than sending generic scans at the last minute.
- incorporation documents and signed application
- shareholder and beneficial-owner evidence
- registered-address arrangements
- capital-payment evidence where required
How does the capital step work?
Under Sections 146 and 147, founders subscribe to and pay the equity capital before filing, unless the memorandum sets an earlier deadline. For a cash contribution, the law describes a payment account in the company-to-be-founded's name and evidence from the payment provider for the Commercial Register.
What does formation cost?
There is no responsible single figure for every foreign founder. Budget separately for the state filing, address or local-contact arrangements, translation or legalisation where the document set requires it, and bank or payment-provider onboarding. The filing plan should confirm the current official fee and the accepted payment route before documents are finalised.
What usually delays a foreign-founder file?
Delays usually come from mismatched names across passports and corporate extracts, an unclear ownership chain, or capital evidence that does not match the applicant and company details. Banking onboarding is a separate compliance decision. Registration does not guarantee an account.
FAQ
Can a foreigner own a Latvian SIA?
Ownership and registration must be checked against the specific founder and activity, then documented in the registry file. Obtain advice where a regulated sector or complex ownership chain is involved.
Do all founders sign?
Section 149 states that all founders sign the registration application.
When is capital paid?
Section 146 places payment before submission of the registration application, subject to the memorandum's earlier deadline.
Is company registration the same as bank approval?
No. The registry process and a bank or payment provider's KYC decision are separate.
